1. Purpose and Scope of Agreement:
The Client hereby engages the Supplier to provide contracted services for GIHC Consumers. The specific details of the services to be provided under this Agreement are outlined in the attached Schedule A.
2. Term:
This Agreement shall commence on 01/01/2023 and will remain in effect unless terminated earlier in accordance with the terms specified herein.
3. Responsibilities of the Supplier:
3.1. Service Provision: The Supplier agrees to provide the services in a professional and timely manner, adhering to industry standards and best practices.
3.2. Compliance with Laws: The Supplier shall comply with all applicable laws, regulations, and industry standards relevant to the provision of the services.
3.3. Quality Assurance: The Supplier shall ensure that all deliverables or products meet the agreed-upon specifications and quality standards.
4. Responsibilities of the Client:
4.1. Payment: GIHC shall compensate the Supplier for the services provided, as detailed in Schedule A, within 7 days of receipt of the invoice.
4.2. Communication: The Client shall provide clear and timely communication regarding the requirements and any changes related to the services.
5. Payment Terms:
The payment for the services provided by the Supplier shall be as outlined in Schedule A and shall be payable via bank transfer.
6. Confidentiality:
Both parties shall maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement.
7. Termination:
7.1. Termination for Convenience: Either party may terminate this Agreement for any reason with 14 written notice to the other party.
7.2. Termination for Cause: Either party may terminate this Agreement immediately if the other party is in material breach of any provision of this Agreement and fails to remedy such breach within [Cure Period] days of receiving written notice.
8. Independent Contractors:
The relationship between the Client and the Supplier established by this Agreement is that of independent contractors. Nothing in this Agreement shall be construed as creating a partnership, joint venture, or employer-employee relationship between the parties.
9. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the state. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of law.
